Terms & Conditions (Providers)

1. Scope
These terms govern the relationship between AiNext GmbH, Lindenstraße 2, 87787 Wolfertschwenden, Deutschland ("we", "Platform") and commercial or self-employed providers offering courses and services via the Platform ("Providers"). This is a B2B relationship.
2. Registration and verification
The Provider registers with complete and accurate company data. We may verify the information and make activation subject to verification. The Provider warrants that it is entitled to perform the offered services (required licences, qualifications, insurance).
3. Platform services
We provide the technical infrastructure for presenting offers, brokering bookings and processing payments (via Stripe). We do not owe any brokerage success or particular level of occupancy.
4. Provider obligations
- accurate, complete and up-to-date presentation of offers, prices (incl. taxes) and terms;
- independent and proper performance of the booked services;
- compliance with all applicable laws, safety and consumer protection rules;
- provision of required information (e.g. own withdrawal/cancellation terms).
5. Commission and payouts
For the brokerage, the Platform receives a commission (platform fee) in the amount shown in the Provider account. The commission is offset against collected payments; payouts to the Provider are made via Stripe less the commission and any payment-processor fees.
6. Contracts with customers
The contract for the service is concluded directly between Provider and customer. The Provider sets its cancellation and refund terms and is responsible for complying with them.
7. Content and rights
The Provider grants us the right to use the content it provides (texts, images) to display and promote the offers on the Platform and warrants that it holds the necessary rights.
8. Liability and indemnification
The Provider is liable for the services and content it offers. It indemnifies us against third-party claims arising from a breach of its obligations or the unlawfulness of its content. Our liability is governed by general statutory provisions with the usual limitations for slight negligence.
9. Term, termination and suspension
The relationship runs for an indefinite term and may be terminated by either party with reasonable notice. In the event of violations, we may temporarily or permanently suspend offers or the account.
10. Changes
We may amend these terms with reasonable prior notice and future effect.
11. Governing law and jurisdiction
German law applies. The exclusive place of jurisdiction for disputes with Providers is – to the extent permissible – the Platform's registered seat.
